It is not a transfer of ownership, and it is not a blank cheque. A POA authorises a named person, your agent or attorney, to act on your behalf for a defined purpose and within a defined scope. Get the scope wrong and the document is either useless for what you needed it for, or broader than you intended.

What Does a Power of Attorney Actually Authorise?

A POA is a formal document naming an agent to carry out specific acts on the principal’s behalf. It is a delegation of authority for a purpose, not a permanent transfer of any right or asset.

The document only authorises what it explicitly states. This is the single most important thing to understand about a POA: a narrowly drafted document cannot be stretched to cover a transaction it does not mention, and a broadly drafted one may authorise more than you intended.

Read a POA as a list of permissions, not a general statement of trust. If an action is not written in, the agent cannot lawfully perform it under that document.

Types of Power of Attorney in the UAE

General Power of Attorney

Authorises the agent to act broadly across a range of matters, commonly used where an owner needs someone to manage multiple aspects of a business or personal affairs over an extended period.

Special or Specific Power of Attorney

Limited to a single transaction or a narrow set of actions, such as signing one specific contract, completing one property sale, or handling one company incorporation. This is the more common type for business setup purposes.

Corporate Power of Attorney

Issued by a company rather than an individual, authorising a named person to act on the company’s behalf, commonly used to appoint a manager or authorised signatory for day-to-day operations.

Real Estate Power of Attorney

Specifically scoped to property transactions, including buying, selling, leasing or managing real estate on the principal’s behalf.

How to Get a Power of Attorney in the UAE

The process is now largely digital through the Ministry of Justice’s e-notary system and UAE Pass.

  • Determine the exact scope the POA needs to cover before drafting begins, since this is what the rest of the process depends on
  • Prepare identification documents: the principal’s passport and Emirates ID where applicable, and the agent’s passport
  • Draft the POA with the specific powers granted stated clearly and completely
  • Complete notarisation, which can generally be done online via video verification through the e-notary system rather than in person
  • Arrange attestation if the POA will be used outside the UAE

Online notarisation has significantly shortened this process. Where the older in-person route could take longer, a straightforward POA can now often be completed within a few business days.

Power of Attorney for Company Formation

This is one of the most common reasons a POA is issued in the UAE, particularly where a shareholder is based overseas and cannot be physically present for every step of incorporation.

A POA for this purpose is typically scoped to cover signing the Memorandum of Association, submitting licence applications, opening a corporate bank account, and completing other incorporation formalities on the shareholder’s behalf. Where a corporate shareholder is involved, the POA is usually issued by that company and forms part of the attested document set required for incorporation, alongside the certificate of incorporation and board resolution.

Does a UAE Power of Attorney Need Attestation?

If the POA will be used only within the UAE, notarisation through the e-notary system is generally sufficient on its own.

If it needs to be recognised outside the UAE, or if it was issued outside the UAE for use here, it generally requires attestation through the UAE Ministry of Foreign Affairs and, depending on the destination country, that country’s embassy as well. Documents not in English or Arabic may also require legal translation.

Attestation timelines vary by country of origin and cannot be rushed from inside the UAE, so factor this in early if the POA is time-sensitive.

How Long Does a Power of Attorney Stay Valid?

Validity depends on how the document is drafted. Some POAs specify a fixed expiry date or are tied to the completion of a single transaction, after which they are no longer valid. Others remain valid until explicitly revoked by the principal.

State the intended duration clearly when drafting, since an open-ended POA that was meant to cover one transaction can create ambiguity about whether it is still in force later.

Can a Power of Attorney Be Revoked?

Yes. A principal can revoke a POA at any time, provided the agent has not already relied on it to complete an irreversible action. Revocation should be formally documented and, where the original POA was notarised or attested, the revocation generally needs to go through an equivalent process to be recognised by third parties who received the original.

Common Mistakes with a UAE Power of Attorney

Drafting the scope too narrowly and finding it cannot cover a related step in the same transaction. Drafting it too broadly and unintentionally authorising more than intended. Assuming a POA notarised in another country is automatically valid in the UAE without attestation. Leaving attestation until the transaction is time-critical, when it can genuinely take days to weeks depending on the country of origin. Forgetting to formally revoke a POA once its purpose is complete.
