1. Definitions and Interpretations

These Terms and Conditions apply to all services rendered by EZONE Corporate Services Provider ("EZONE") to any client ("Client") across all UAE jurisdictions—Mainland, Free Zones, and Offshore. Definitions include but are not limited to: "Client", "Company", "CSP", "Authority", "KYC", "UBO", "License Package", and "Add-Ons".

2. Agreement and Applicability

By engaging with EZONE and/or subscribing to any of its services, the Client agrees to be legally bound by these Terms. These Terms supersede all previous agreements, representations, and understandings.

3. Jurisdiction

These Terms shall be governed by the laws of the Emirate of Dubai and the United Arab Emirates. Disputes unresolved amicably within 30 days shall be submitted to Dubai courts.

4. Scope of Services

EZONE provides end-to-end company formation and business support services, including, but not limited to, company incorporation, licensing, renewals, visa processing, banking coordination, VAT registration, and related administrative support.

5. Service Conditions

Services are for the Client’s exclusive use and are non-transferable. EZONE may subcontract services to approved third-party providers. Timelines are subject to the completion of all documentation, compliance with regulatory requirements, and payment realization.

6. Client Obligations

Clients must:

• Provide accurate and complete documentation.
• Comply with KYC, UBO, ESR, and AML requirements;
• Update EZONE with any changes in contact details.
• Follow dress codes and protocol required by authorities.

7. Payment Terms

All fees must be paid in advance unless a written installment plan is agreed. Unpaid invoices beyond 30 calendar days will incur a 10% penalty for every additional 30-day period.

Authority fees are subject to change without notice. Bank charges and returned cheque fees are to be borne by the Client. Cheques must be drawn from UAE-based banks.

8. Late Payment, Non-Payment & Cancellation Policy

Clients bear responsibility for fines resulting from non-renewal or late payments. EZONE may suspend or terminate services until all dues are settled. Legal action may be pursued for continued non-payment. In cases of disengagement, a minimum NOC fee of AED 1,500 applies. For security cheques provided, EZONE reserves the right to encash in the event of default.

9. Refund Policy

All fees paid are non-refundable, including instances of service rejection, deregistration, or failure to comply. Fees for partially rendered services or Add-Ons are also non-refundable.

10. Renewal & Amendment Services

Licenses and visas do not auto-renew. Clients must confirm renewals in writing and submit documents and payment. EZONE will initiate renewal/amendment only upon full compliance.

11. Visa, Licensing, and Government Interaction

Visa issuance is at the sole discretion of UAE immigration authorities. Licensing procedures and regulations may vary based on jurisdiction and business activity. Clients acknowledge these outcomes are outside EZONE's control.

12. Third-Party Services

EZONE may appoint trusted third-party providers to fulfill services. EZONE coordinates the service but is not liable for third-party performance.

13. Confidentiality & Data Protection

All information exchanged is confidential unless disclosure is required by law. EZONE processes Client data strictly for service purposes and adheres to UAE data protection regulations.

14. Limitation of Liability

EZONE is not liable for delays, penalties, rejections, or losses caused by authorities, force majeure, or Client negligence. Liability is limited to service fees paid. Legal and accounting advice must be obtained independently.

15. Termination of Services

EZONE may terminate engagement due to non-compliance, abuse, suspected criminal activity, harassment of staff, or late payment beyond 30 days. Termination does not absolve the Client of pending financial obligations.

16. Change of Corporate Services Provider (CSP)

If the Client opts to appoint a new CSP or Registered Agent, EZONE will issue a No-Objection Certificate (NOC) subject to a non-refundable administrative fee of AED 5,000. This fee ensures structured disengagement and regulatory compliance.

17. Intellectual Property

All materials and systems developed by EZONE remain its intellectual property. Client data remains solely the property of the Client.

18. General Provisions

• Visa application status and personal documents must be handed directly to applicants.
• EZONE may open Emirates ID envelopes to verify details.
• Dress code compliance is required for medical/government appointments.
• These Terms may be updated from time to time. Continued use of services indicates acceptance.

19. Schedules

• Schedule 1: Restricted nationalities, business activities, and visa-related compliance.
• Schedule 2: Full list of services rendered by EZONE, including incorporation, documentation, VAT, PRO, and Add-On services.

These Terms and Conditions are binding for all EZONE Clients and shall apply to all contracted or paid services. This document ensures full alignment with the legal framework of the United Arab Emirates and supersedes all previous terms.
