Business Setup in the UAE: The Complete 2026 Guide for Foreign Owners

October 4, 2026 Aashish Bhakri No comments yet
Compass on a wooden jetty extending into misty water

Business setup in the UAE means choosing where and how to register a company, getting a trade licence, and then putting visas, a bank account and tax registration in place. Foreign owners can hold 100% of most companies, there is no personal income tax, and the licensing process is fully digital in many zones. The hard part is not the paperwork, it is making the right choices in the right order.

This guide gives you the whole picture across the seven emirates, and links to detailed guides for each decision. If you are focused on Dubai, our guide to company formation in Dubai covers the process in depth.

Key takeaways:

  • You have three routes: mainland, free zone and offshore, and each is built for a different kind of business.
  • Each emirate has its own licensing authority and free zones, so location affects cost, customers and visas.
  • Most mainland activities allow 100% foreign ownership, and free zones always have.
  • Every UAE company must register for Corporate Tax, including free zone companies, within three months of incorporation.
  • A licence alone does not let you operate. You also need visas, a bank account and tax registration.

Why Set Up a Business in the UAE?

The UAE combines a central location between Europe, Asia and Africa with a stable, business-focused legal system. There is no personal income tax, Corporate Tax is 9% on taxable income above AED 375,000, and VAT is 5%. Ownership rules have also opened up, so foreign founders can usually own their company outright.

Other practical advantages include digital licensing, modern infrastructure and a large community of service providers. The UAE is not the right fit for every business, but for many international founders the combination of access, cost and speed is hard to match.

Your Three Routes: Mainland, Free Zone or Offshore

This is the first decision, and it shapes almost everything after it. The table below summarises the differences, and our full comparison of mainland vs free zone vs offshore covers each in detail.

RouteBest forMain limit
MainlandSelling inside the UAE, retail, contracting, government workHigher cost and a physical office
Free zoneConsulting, trading, e-commerce, start-ups serving international clientsNo direct mainland trading without a permit
OffshoreHolding assets and international invoicingCannot operate inside the UAE

If most of your customers are inside the UAE, read Dubai mainland business setup. If most are abroad, start with Dubai free zone company formation, and for holding structures see RAK ICC offshore company formation.

Which Emirate Should You Choose?

Each emirate has its own mainland authority and its own free zones. Dubai offers the widest choice and the largest market, Abu Dhabi suits government-linked and industrial work, and Sharjah, Ajman, Ras Al Khaimah and Fujairah generally cost less. Our guide to business setup in the UAE by emirate compares them side by side.

Popular starting points include Meydan Free Zone and DMCC in Dubai, and KEZAD in Abu Dhabi. If you are unsure which zone fits, our guide to the best free zone for your business helps you narrow it down.

Legal Structures

You also choose a legal form, which decides liability, ownership and how you can bring in partners. The main options are an LLC, a sole establishment, a civil company, a branch and a free zone entity. Our comparison of UAE company legal structures explains each one.

The 2025 company law update also lets LLCs issue multiple share classes and lets companies move between emirates, free zones and the mainland without liquidating. Our sister site covers what actually changed in UAE company formation on ownership, tax and visas, and the wider picture sits on companyformationinuae.com.

Foreign Ownership

Free zones have always allowed 100% foreign ownership, and most mainland activities now do too, so a local sponsor is no longer the default. A small number of strategic activities remain restricted or need approval. Our guides on the legal framework for foreign ownership and whether you still need a local sponsor in Dubai explain how this works.

Licence Types and Business Activities

Your licence follows your activity. The main categories are commercial, professional, industrial and tourism, and free zones use their own classes. Some activities, such as healthcare, finance and education, need an additional regulator approval before the licence is issued.

See our guide to business licences in Dubai for the categories, and our guide on getting a trading licence for the most common type.

The Setup Process in Short

  1. Choose your activity, route, emirate and structure.
  2. Reserve a trade name and get initial approval.
  3. Arrange premises, which is a tenancy on the mainland and often a flexi-desk in a free zone.
  4. Sign the constitutional documents and pay the fees.
  5. Receive your licence and establishment card.
  6. Apply for visas and Emirates IDs.
  7. Open a bank account and register for tax.

Our guide to applying for a new business registration in Dubai walks through each step, and our stage-by-stage timeline shows how long each one usually takes.

Who Can Set Up a Business in the UAE?

Almost anyone can, whether or not you live in the UAE. You do not need residency to start, though visas, Emirates ID and some bank onboarding need a visit. Requirements depend on your nationality and structure, and our country-specific guides help.

  • Owners based abroad: read how to start a business in Dubai as a foreigner and how to start without living there.
  • GCC nationals: see business setup for GCC nationals.
  • Indian founders: see starting a business in Dubai from India.
  • German citizens: see setting up a business in Dubai as a German citizen.

What Business Setup in the UAE Costs

Costs depend on the route, the activity, the office and the number of visas. Published starting prices for e.zone packages run from around AED 5,750 to AED 12,500 for free zone licences, depending on the zone, and from around AED 14,626 for Dubai mainland. Treat these as a floor, because the final figure changes with your activity and your visa needs.

Beyond the licence, budget for the office, visas, medicals, insurance, advisory fees and accounting. Our guide to the best business setup packages for start-ups in the UAE compares typical bundles, and the cost calculator prices your own setup in minutes.

Visas and Residency After Setup

A licence lets you sponsor residence visas, and the number depends on your office or package. Owners can usually obtain their own residence visa through the company, and can then sponsor family. See our guides to Dubai business setup for residency and the UAE family visa.

Some founders qualify for longer-term options. Our guide to the Golden Visa covers eligibility, and our overview of the Dubai freelance visa explains the route for individuals who do not need a full company.

Corporate Tax, VAT and Compliance

Every UAE company must register for Corporate Tax with the Federal Tax Authority, including free zone companies. A company incorporated on or after 1 March 2024 must apply within three months of incorporation, and late registration carries an AED 10,000 penalty. Corporate Tax is 9% on taxable income above AED 375,000, and qualifying free zone persons can access a 0% rate on qualifying income if they meet the conditions.

VAT registration is mandatory when taxable supplies and imports exceed AED 375,000 over the previous 12 months, or you expect them to in the next 30 days, and you must apply within 30 days of becoming liable. See our guides to corporate tax registration, VAT registration and corporate tax vs VAT.

Banking

A trade licence does not guarantee a bank account, because banks run their own checks on the owners and the business plan. Prepare a clear plan, supplier and customer details and a statement of the source of funds. Our guide to bank account opening in Dubai explains the process, and our article on non-resident bank accounts covers owners based abroad.

Setting Up by Industry

Requirements change a lot by sector, and some activities need extra approvals. These guides cover common ones:

  • E-commerce: compare free zone packages for e-commerce and set up an electronic trading business.
  • Food and beverage: start a cloud kitchen or start a food truck business.
  • Healthcare: launch a medical clinic in Dubai.
  • Tourism: start a tourism business in the UAE.
  • Crypto and Web3: crypto licence in Dubai.

Common Mistakes to Avoid

  • Choosing by price alone. The cheapest licence can limit visas or block mainland sales.
  • Under-listing activities. Adding one later means amending the licence and may need new approvals.
  • Skipping the tax registration. The deadline is firm and the penalty is real.
  • Treating the licence as the finish line. Our checklist for the first 30 days after getting a trade licence covers what comes next.
  • Underestimating documents. Our guide to why Dubai company setups get delayed or rejected lists the usual causes.

Choosing a Business Setup Partner

A good advisor confirms your route, activity and approvals before you pay, explains every fee and tells you what the licence cannot do. Our guide on how to choose a reliable business setup company in the UAE lists the questions to ask. You can also see EZONE’s business setup services in full.

Can a foreigner own 100% of a company in the UAE?
Yes. Free zones have always allowed 100% foreign ownership, and since the 2021 reforms most mainland activities do too. A few strategic activities remain restricted or need approval.
How much does it cost to set up a business in the UAE?
Free zone packages start from around AED 5,750 to AED 12,500 and Dubai mainland from around AED 14,626, before visas, office and approvals. The total depends on your activity, office and visa count.
How long does business setup in the UAE take?
A free zone setup often takes a few days to two weeks and a mainland setup one to three weeks. Regulated activities take longer, and the bank account often takes longer than the licence.
Do I need to live in the UAE to set up a company?
No. Many free zones allow remote registration. You will usually need a visit for residence visas, Emirates ID biometrics and some bank account applications.
Which emirate is best for business setup?
It depends on your customers and budget. Dubai offers the widest choice and market, Abu Dhabi suits government-linked and industrial work, and the northern emirates usually cost less.
Do I have to register for corporate tax?
Yes. Every UAE company must register for Corporate Tax, including free zone companies. A company incorporated on or after 1 March 2024 must apply within three months of incorporation, and late registration carries an AED 10,000 penalty.
When do I have to register for VAT?
When taxable supplies and imports exceed AED 375,000 over the previous 12 months, or you expect them to in the next 30 days. You must apply within 30 days of becoming liable, and voluntary registration is possible from AED 187,500.
Can I move my company from a free zone to the mainland later?
Yes. Under the 2025 company law update, companies can move between emirates, free zones and the mainland while keeping their legal personality, though licences and visas must be amended.
